Terms & Conditions of Sale

DEFINITION: 'Company' means Lemco UK Limited. 'Customer' means the person whose order for goods is accepted by the Company.

GOODS & ORDERS: Please quote full item numbers and correct description when ordering. All goods referred to or illustrated in any catalogue, price list or published literature are subject to availability. The appearance of any item in such literature does not constitute an offer of sale. Any order for goods will become binding on our acceptance of such order. These Terms & Conditions shall apply to any order accepted by the Company and all goods will be despatched under these Terms & Conditions which will apply to each order to the exclusion of any other Terms & Conditions inconsistent with such Terms & Conditions, or purporting to modify the same. PRICE: All prices are exclusive of Value Added Tax and carriage charges which shall be payable in addition to the price of the Goods unless otherwise agreed in writing. Maintenance of prices is not guaranteed and they are subject to alteration without notice.

TERMS OF PAYMENT: Prices, VAT and carriage charges are strictly net and payment is due within 30 days of invoice date, when the full invoice value becomes due. No set-off for any reason will be allowed. If payment is not received on the due date the Company shall be entitled to interest on any outstanding balance at the rate of 2% above the minimum lending rate of Lloyds TSB Bank plc. Every time a cheque, standing order or Banker's Order fails to clear the Customer's Bank on presentation the Company will separately surcharge the Customers' account with a 15.00GBP fee (plus VAT).Accounts put out for collection will be subject to a 15% surcharge. In the event of legal action being necessary a further recovery surcharge of 15% will be added plus any court fees and legal costs. The Company reserves the right to suspend deliveries to any Customer.

RESERVATION OF TITLE: Ownership of all the goods supplied by the Company shall remain vested in the Company and the Company reserves the right to repossession of the goods until all monies due from the Customer to the Company are paid in full. The Customer shall keep and store all such goods in such a manner that they can be readily identified as items belonging to the Company. The Customer hereby irrevocable grants permission to the Company, or its representatives, to enter upon any premises owned or under the control of the Customer and to remove any and if necessary detach the goods from such premises or from any other goods or property. The Customer shall have power to make bona fide market sales of the goods for the benefit of the Company and the Customer shall hold all proceeds from the sales of such goods in trust for the Company.

PACKING: Goods are packed in free non-returnable cartons. Standard pack quantities are shown for different products in the price list. Orders should be placed in multiples of these quantities to simplify packing and despatch.

BREAK PACK: For order quantities which do not equate to Pack Quantities as shown (or multiples thereof), a Break Pack charge of 1.00GBP per line will be applied. DELIVERY: Deliveries are made by our appointed carriers or by post. Every effort will be made to execute orders in one consignment. In the event of incomplete despatches subsequent deliveries will be made carriage paid by the Company until completion of order, unless notification is received to the contrary. The Company reserves the right to cancel balance of orders under 50GBP in value excluding VAT. Any balance of orders not despatched after 3 months from the first date of invoice will be automatically cancelled unless notified to the contrary.

CARRIAGE: Will be paid on orders with a net trade value of 250GBP or more from April to October (inclusive) and 150GBP or more from November to March (inclusive) - excluding VAT and on UK Mainland only. Orders under 250GBP or 150GBP, net, will be charged at 10.00GBP for first parcel and 5.00GBP per parcel thereafter. Orders from the Channel Islands, Isle of Man, Northern Ireland, Eire, Scottish Highlands and Shetlands carriage will be charged at cost. SPECIFICATIONS: Technical data, dimensions, weight etc., given in our catalogue are a guide only, and no guarantee is given or implied that Goods will conform in absolute detail to the description and illustrations. The Company reserves the right to modify specifications and to withdraw goods from the catalogue without prior notice.

LIABILITY: The liability of the Company to the Customer in respect of defective or damaged goods shall be limited to replacement of the goods in question or refund of the price paid by the Customer. Except as expressly stated in these Terms & Conditions of Sale, the Company shall be under no liability for any loss or damage including consequential loss or damage, howsoever arising resulting from the supply, use or conversion, of the goods, and the Customer will indemnify the Company in respect of any claim brought by a third party against the Company in respect of such loss or damage, providing always that nothing herein shall exclude, or purport to exclude any liability of the Company where such exclusion of liability is prohibited, void, or unenforcable under English Law. CLAIMS: Inspection of Goods immediately on arrival is advised. The Company will not accept any claim in respect of damage in transit, shortage or non-delivery unless written notice is received by the Company and by the carrier within the time limits as follows: Damage in Transit within 5 days of receipt of goods; Shortages within 5 days of receipt of goods and Non-Delivery within 14 days of the date of invoice.

RETURNS: Authorisation for the return of goods (faulty or otherwise), should be obtained prior to any goods being returned to the Company. Any goods being returned should have full notification of the fault and the customers account name and address.

RE-WAREHOUSING: The Company reserves the right to levy a re-warehousing charge of 15% of the price of any goods returned. Returned goods will only be accepted if they are returned in the original packaging, in full trade packs and are in a re-saleable condition.

The greatest care has been taken to ensure accuracy but Lemco UK Limited cannot accept responsibility for omissions or errors. Lemco UK Limited reserves the right to alter any specifications or prices on the products featured. Representations of colours are approximate only due to the limitations of photographic and printing processes. All sizes and weights are intended as a guide and are approximate.
